Terms of Service

1. Acceptance of Terms

Welcome to AbiPilot. These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and Abi Pilot, LLC, a limited liability company formally registered and organized under the laws of the State of Delaware, United States of America ("AbiPilot", "we", "us", or "our"), concerning your access to and use of the abipilot.com website and the automated SaaS platform (collectively, the "Service").

By registering an account, purchasing a subscription, or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are explicitly prohibited from using the Service and must discontinue use immediately.

2. Account Registration & Security

To access the SaaS platform features, you must complete the registration process. You represent and warrant that:

• All registration information you submit is complete, current, and truthful.
• You will maintain the accuracy of such information and update it promptly.
• You have the legal capacity to enter into a binding agreement under the laws of your jurisdiction, and if you register on behalf of a corporate entity, you possess the full legal authority to bind that entity to this Agreement.
• You are solely responsible for safeguarding your login credentials (username and password) and for all activities, actions, or transactions executed under your account.

3. Platform License and Acceptable Use

We grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Service strictly in accordance with this Agreement, for your internal business operations.

You explicitly agree not to engage in any of the following prohibited behaviors:

• Using the platform to send unauthorized commercial communications, bulk marketing spam, or unsolicited messages violating applicable regulatory frameworks (including the CAN-SPAM Act, TCPA, and GDPR).
• Attempting to reverse-engineer, decompile, or extract the source code of our platform architecture.
• Bypassing or attempting to defeat any security features, authentication walls, or usage limits implemented on our servers.
• Using our autonomous AI agents or chat interfaces to distribute toxic, defamatory, obscene, or otherwise illegal content.

4. Third-Party Integrations & Google Calendar API

The Service provides direct integration capabilities with third-party software, including Google Calendar. By voluntarily establishing a connection to your Google Account via our OAuth screen, you authorize AbiPilot to interact with your Google Calendar on your behalf.

5. Telephony, WhatsApp, and Consumption Disclosures

IMPORTANT SAAS OPERATIONAL DISCLOSURES: Certain automated agent features within the AbiPilot platform involve dispatching SMS text messages, executing outbound Voice Calls, or sending WhatsApp business messages to lead contacts. These communication capabilities rely on external, third-party telephony gateway APIs (specifically Twilio).

6. Billing, Payments, and Cancellations

All subscription payments are handled securely via our PCI-compliant third-party processor, Stripe. By purchasing a subscription, you agree to the following financial terms:

• Billing Cycle: Subscriptions are billed in advance on a recurring monthly or annual basis, depending on the plan you select.
• Automatic Renewal: Your subscription will renew automatically at the end of each billing cycle unless you cancel it before the renewal date via the Billing Portal in your dashboard.
• Cancellations: You can cancel your subscription at any time. Upon cancellation, your platform access will remain active until the end of your current paid billing period, and no further recurring charges will be processed.
• Refund Policy: All payments are non-refundable. We do not provide prorated refunds or credits for partially used billing months or annual subscription cycles.

7. Intellectual Property Rights

The Service, including its proprietary system architectures, database designs, source codes, trademarks, logos, visual aesthetics, AI agent frameworks, and documentation, are the sole and exclusive intellectual property of Abi Pilot, LLC, protected by United States and international copyright, patent, and trademark laws.

You may not copy, scrape, distribute, publish, modify, or commercially exploit any part of our platform without our express written consent.

8. Delaware Governing Law and Forum

These Terms, your use of the Service, and any disputes, controversies, or legal claims arising out of or in connection with them, shall be governed by, interpreted, and enforced in accordance with the internal laws of the State of Delaware, United States of America, without regard to conflict of laws principles.

You and Abi Pilot, LLC agree that any legal action, suit, or proceeding arising under this Agreement shall be brought exclusively in the state courts located in the State of Delaware or the United States District Court for the District of Delaware, and both parties submit to the personal jurisdiction and venue of such courts.

9. Disclaimer of Warranties and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABI PILOT, LLC OR ITS MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, SYSTEM OUTAGES, BUSINESS INTERRUPTIONS, OR OTHER INTANGIBLE LOSSES arising from your use of, or inability to use, the platform.

IN NO EVENT SHALL ABI PILOT, LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF **ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD)** OR THE ACTUAL TOTAL FEES PAID BY YOU TO ABIPILOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Abi Pilot, LLC, its affiliates, managers, officers, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your misuse of the platform or breach of this Agreement.
• Your content or data uploaded to the Service.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any issues arising from your voluntary third-party integrations (such as Google Calendar or Twilio).
